SecondAppraisal Agent API Agreement

This Agent API Agreement ("Agreement") is between SecondAppraisal ("SecondAppraisal", "we", "us") and the person or entity that registers an AI agent, assistant, bot, or platform ("you", the "Operator") to use the SecondAppraisal Agent Intake API, the remote MCP server, the A2A endpoint, and related documentation (together, the "Agent API"). By registering, you accept this Agreement on behalf of yourself and the agent(s) you register.
Anonymous (unregistered) use of the Agent API is also governed by Sections 2–6 and 8–12 below.
1. What the Agent API is for
The Agent API lets an AI agent, acting on behalf of an identified vehicle owner, submit that owner's total-loss situation to SecondAppraisal so we can offer them a free appraisal consultation. It exists for one purpose: to get a real person who wants help connected with us quickly. It is not a lead marketplace, a data feed, or a bulk-messaging channel.
2. Accurate self-identification
Every submission must accurately identify the agent (agent.name, agent.platform, and, when registered, your API key). You may not impersonate another agent, platform, insurer, law firm, or SecondAppraisal itself.
3. Customer authorization — the attestation is a statement of fact
Each submission carries a consent.attestation. By submitting it you state, as a matter of fact, that:
- the customer whose contact details you submit asked your agent to submit their situation to SecondAppraisal (or asked for help with their total-loss offer and was told your agent would submit it to us);
- the customer knows SecondAppraisal will contact them — we will send one welcome email and/or text with a confirmation link, and a person on our team will attempt to call them to confirm the request came from them or their representative and that they want the free consultation; and
- the contact details are the customer's own, provided by them, and not purchased, scraped, inferred, or taken from a list.
consent.mode = warm_handoff (registered agents only) additionally states that the customer asked to be contacted now and expects a prompt call.
Submitting a person who did not ask, or who did not know we would reach out, is a material breach. We may suspend your registration on the first substantiated instance.
4. Relaying our message
Our receipt includes a customer_message written for the customer. It contains the confirmation link and states, in plain words, that we will attempt to call them. When your agent reports back to the customer, it must relay that notice — verbatim or in substance — and must not represent that SecondAppraisal will not call, will not email, or has already agreed to take the customer's matter.
5. Prohibited uses
You may not use the Agent API to:
- submit the same person repeatedly, or many people at once, to test, scrape, or load our systems;
- submit contact details of people who have told you, us, or anyone else that they do not want to be contacted;
- build a mirror of our data, resell or redistribute receipts, preliminaries, or state-rules content, or train models on responses at scale;
- circumvent rate limits, de-duplication, do-not-contact screening, or the
not_eligibleneutral answer (which we return deliberately and will not explain); - attach documents that are not the customer's own insurer valuation report, or that contain malware or another person's information; or
- represent that SecondAppraisal endorses, sponsors, or partners with your agent, product, or platform unless we have agreed to that in writing.
6. Your own compliance
You are responsible for your agent's compliance with the laws that apply to your contact with the customer — including the Telephone Consumer Protection Act, CAN-SPAM, state privacy and telemarketing laws, and any professional-conduct rules that apply to you. Our contact with the customer follows our own consent and do-not-contact controls; your submission does not transfer your obligations to us or ours to you.
7. Registered agents — keys, webhooks, and what registration unlocks
- Keys. API keys (
sa_agent_…) are shown once, are confidential, and are yours to protect. Rotate a key you believe is exposed. You are responsible for every request made with your key until you rotate or we revoke it. - Verification. Registration requires a working operator email. We may contact that address about abuse reports, agreement changes, or service changes.
- Webhooks. If you configure a webhook, we sign each delivery with your webhook secret; you should verify the signature. Deliveries carry intake status only — never the customer's contact details.
- What you get. Registered agents receive the preliminary market read on every eligible submission, may request a priority callback (
warm_handoff), have higher rate limits, and receive webhook events. We may change these features on notice. - No compensation. Unless we agree otherwise in a separate written agreement, we pay no referral fee, commission, or other compensation for submissions, and you may not tell customers that we do.
8. Data
We process the customer's details to open a consultation, screen for do-not-contact status, produce a preliminary market read, and contact them as described in Section 3. Our handling of personal information is described in our Privacy Policy at /privacy. You must have a lawful basis to send us the information you submit, and you must not send us information you are not permitted to share.
We keep receipts, poll tokens, and preliminaries for a limited time and may expire an unconfirmed intake.
9. No advice; preliminary market reads are not appraisals
Responses from the Agent API — including any preliminary — are early, automated market reads for orientation only. They are not an appraisal, valuation opinion, or legal advice, and must not be presented to the customer as one. A consultation, and any appraisal research we later produce, is governed by our Terms and Conditions at /terms.
10. Availability and changes
The Agent API is provided as-is. We may change endpoints, schemas, limits, features, or this Agreement; we will version breaking API changes and give notice to registered operators where practical. We may suspend or terminate any registration or block any caller at our discretion, including for suspected breach of Sections 3 or 5, and we may decline to explain a not_eligible answer.
11. Liability
To the fullest extent permitted by law, SecondAppraisal is not liable to you for any indirect, incidental, consequential, or punitive damages, or for any loss of business or data, arising from the Agent API, and our total liability to you under this Agreement will not exceed one hundred US dollars ($100). You will indemnify SecondAppraisal against claims arising from your breach of Sections 3, 5, or 6.
12. General
This Agreement is governed by the dispute-resolution, governing-law, and general provisions of our Terms and Conditions (/terms), which apply to you as an Operator as if you were a "user" there, except that consumer-specific provisions do not apply to your commercial use. If any part of this Agreement is unenforceable, the rest remains in effect. This Agreement, our Terms, and our Privacy Policy are the entire agreement between you and SecondAppraisal about the Agent API.
